1. Acceptance of Terms
By accessing or using Alexandria (the "Service"), operated by Alexandria ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Alexandria is a cloud-based documentation and knowledge management platform that enables organizations to create, manage, share, and search documents. The Service includes AI-powered features such as intelligent search, conversational AI agents, document analysis, and public help site generation.
3. Accounts and Organizations
3.1 Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
3.2 Organizations
The Service operates on an organization-based model. You may create a new organization or join an existing one using an organization code. Organization administrators have the ability to manage members, teams, settings, and content within their organization. You must comply with any additional policies established by your organization's administrators.
3.3 Account Security
You must immediately notify us if you become aware of any unauthorized access to or use of your account. We are not liable for losses arising from unauthorized use of your account.
4. Your Content
4.1 Ownership
You retain all rights to the content you create, upload, or store on the Service ("Your Content"). We do not claim ownership of Your Content. By using the Service, you grant us a limited license to host, store, process, and display Your Content solely for the purpose of operating and providing the Service to you and your organization.
4.2 Content Responsibilities
You are solely responsible for Your Content. You agree not to upload, create, or share content that:
- Violates any applicable law or regulation
- Infringes on the intellectual property rights of any third party
- Contains malicious code, viruses, or harmful material
- Is defamatory, obscene, threatening, or harassing
- Violates the privacy or publicity rights of any person
4.3 Content Visibility
You control the visibility of your documents through audience settings. Documents can be set to private (only you), limited (specific users or teams), or open (your organization). Documents marked as "external" may be publicly accessible through your organization's help site. You are responsible for ensuring the appropriate visibility settings for your content.
5. AI-Powered Features
5.1 Third-Party AI Providers
The Service uses third-party AI model providers (accessed via API keys configured by you or your organization) to power features such as semantic search, chat agents, document summarization, and diagram generation. When you use these features, relevant content may be sent to the AI provider for processing. Your use of AI features is also subject to the terms and policies of the underlying AI provider.
5.2 AI Output
AI-generated content (including chat responses, search answers, and diagrams) is provided "as is" without warranty of accuracy. You should independently verify AI-generated information before relying on it for important decisions. We are not responsible for the accuracy, completeness, or appropriateness of AI-generated content.
6. API Keys and Integrations
Certain features require API keys that you or your organization provide. You are responsible for the security and proper use of your API keys. You agree not to use API keys in a manner that violates the terms of the underlying service provider. We store API keys in encrypted form, but you acknowledge that providing an API key authorizes the Service to make requests to the corresponding provider on your behalf.
Third-party integrations (such as Google, Microsoft, GitHub, Slack, Confluence) are subject to those services' own terms of use. We act as a conduit for these integrations and are not responsible for third-party service availability or conduct.
7. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to other organizations' data, accounts, or systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means (bots, scrapers) to access the Service without our written consent
- Attempt to probe, scan, or test the vulnerability of the Service
- Circumvent or attempt to circumvent any access controls, including organization isolation measures
- Use the Service to send unsolicited communications or spam
- Resell, sublicense, or commercially exploit the Service without our written consent
8. Intellectual Property
The Service, including its design, code, features, branding, and documentation (excluding Your Content), is owned by Alexandria and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) shall survive.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALEXANDRIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify and hold harmless Alexandria, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Your continued use of the Service following any changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
